1. Purpose and permitted use

Group Consult Services Limited, trading as Trusted Connections (the Provider), grants the approved adviser or practice (the Licensee) a limited, non-exclusive, revocable and non-transferable licence to use the approved materials, templates, forms, checklists and related digital workflows solely for the purpose agreed with the Provider.

The materials may be shared with the Licensee’s end users only as approved, without alteration, and only to support completion of the relevant information request or workflow.

2. Guidance, not advice

The materials provide general information and practical guidance. They are not legal, financial, estate-planning, tax, regulated or other personalised professional advice, and must not be presented as such.

The Licensee must make clear to end users that they should seek an appropriately qualified solicitor or relevant professional for legal or regulated advice. Neither the Provider nor the Licensee accepts liability for an end user’s reliance on materials as personalised advice.

3. Licensee obligations

The Licensee must use the materials only as supplied, must not alter, edit, reverse-engineer, rebrand, sublicense or reproduce them except where expressly authorised, and must keep evidence of compliance, complaints or issues arising from use where reasonably requested.

The Licensee must not provide legal, financial or regulated services through the materials unless legally authorised and compliant with applicable UK regulatory requirements. The Licensee remains responsible for its own legal, consumer-protection, data-protection and regulatory obligations.

4. Intellectual property and confidentiality

All materials, templates, processes, digital workflows, trade names, branding and associated intellectual-property rights remain the Provider’s property. The Licensee must not copy, recreate, mimic, digitise or develop derivative works from them beyond the agreed use.

Both parties must keep non-public business, processes, systems, templates and commercial information confidential.

5. Data protection

Each party is responsible for compliance with applicable UK data-protection law, including the UK GDPR and the Data Protection Act 2018. The Licensee must not share end-user personal data with the Provider unless it is lawful, necessary and appropriately communicated to the individual concerned.

Special-category data should not be transferred unless necessary, lawful and subject to the appropriate safeguards.

6. Termination and governing law

The agreement continues until ended by either party on 90 days’ written notice, or immediately where there is material misuse, an intellectual-property breach, misrepresentation of the materials as advice, conduct damaging compliance or reputation, or a material data-protection breach. On termination, use and distribution must stop and copies must be deleted or returned as directed.

The agreement is governed by the law of England and Wales, and disputes are subject to the exclusive jurisdiction of its courts.
